CHANGE TO THE BOARD OF DIRECTORS


Shareholders are referred to the Company's announcement on 1 April 2025, wherein they were advised
that Nadine Bird resigned as MAS' Chief Financial Officer ("CFO") and Executive Director with effect
from 30 June 2025.

The Group is pleased to announce the appointment of Bogdan Oslobeanu as CFO with effect from
1 July 2025.

Bogdan is a highly experienced finance professional and brings nearly 27 years of finance experience
across industries such as real estate, oil and gas, and energy. He began his career in audit and
consulting with E&Y, Arthur Andersen, and PwC, before joining The Rompetrol Group, where he
advanced to Corporate Projects Director after serving management roles in finance, operations, and
corporate projects over 14 years, including Bucharest Stock Exchange-related projects and
responsibilities. Recently, Bogdan has held consultancy roles in equity and debt transactions, served
as Chief Executive Officer of Impact Developer and Contractor SA, a Romanian residential real estate
company listed on the Bucharest Stock Exchange, and was Group Development Director at E-INFRA
Group.

Bogdan will relocate to the Group's Malta office in due course.
