APPLICATION FOR THE WINDING UP OF MURRAY & ROBERTS

    Shareholders are referred to the SENS announcement published on 27 June 2025, which advised that
    the requisite quorum of shareholders to consider the proposed creditors' voluntary winding-up of the
    Company was not achieved.

    The Company hereby confirms that a creditor of Murray & Roberts has instituted liquidation proceedings
    out of the Gauteng Division of the High Court of South Africa, seeking an order for the final, alternatively
    provisional winding up of the Company.

    Given the Company's financial position, it does not intend to oppose the liquidation application. The
    Company will continue to engage with its legal advisors and will update shareholders on further material
    developments in this regard.

    The suspension of trading in Murray & Roberts shares in accordance with paragraph 1.10 of the JSE
    Listings Requirements which occurred on 22 November 2024 remains unchanged.
