BLUE RIDGE PLATINUM PROPRIETARY LIMITED: FINALISATION OF BEE TRANSACTION

The board of directors of Mantengu ("Board") refers to the SENS announcement dated 21 July 2025 in
connection with the acquisition by Mantengu of all of the issued share capital of and claims in Blue
Ridge Platinum Proprietary Limited ("Blue Ridge") from Ridge Mining Proprietary Limited and Imbani
Platinum SPV Proprietary Limited pursuant to a sale of shares and claims agreement entered into by
the parties thereto (the "Sale of Shares and Claims Agreement") (the "Transaction") with effect from
1 August 2025.

It was a condition precedent to the Transaction that Mantengu enter into definitive and binding
agreements with BEE counterparties to dispose of a proportion of its shareholding and claims in Blue
Ridge, a condition duly fulfilled by Mantengu by the entry into of such agreements by Mantengu with
Vitai Resources (Pty) Ltd., the Blue Ridge Platinum Mine Employee Trust and the Blue Ridge Platinum
Mine Community Trust (the "BEE Parties"), in terms of which Mantengu would dispose of 30% of its
shareholding and claims in Blue Ridge in the proportion 20%, 5% and 5%, respectively, to the BEE Parties
for an aggregate sale consideration of R1.00 (the "BEE Transaction").

The Board is pleased to advise shareholders that, all the closing deliverables having been fulfilled, the
BEE Transaction has reached close and became effective on 25 August 2025. The disposal of 30% of
its shareholding in Blue Ridge to the BEE Parties is testament to Mantengu's unwavering commitment
to Broad Based Black Economic Empowerment.

Due to its relative size, the disposal falls below the threshold of a categorised transaction in terms of
the Listings Requirements of the JSE Limited and its announcement is therefore voluntary.
