CHANGE TO THE BOARD OF DIRECTORS


Shareholders are hereby advised that Ms. Veronica Motloutsi has informed the board of directors of her intention to
retire at the conclusion of the upcoming annual general meeting of iOCO which is expected to be held on or about
3 December 2025 and accordingly will not offer herself for re-election.

Ms. Motloutsi has recently accepted a new professional role which, upon review, may present a possible conflict of
interest with her duties on the iOCO board. In light of this, and in the spirit of good governance, she has elected to step
down from her position.

The board expresses its sincere gratitude to Ms. Motloutsi for her valuable contributions and dedicated service during
her tenure. We wish her continued success in her new role and future endeavours.

The process to appoint a suitable replacement is underway, and shareholders will be updated in due course.
