CAUTIONARY ANNOUNCEMENT

Shareholders are advised that Araxi is in advanced discussions regarding a potential acquisition of a
controlling interest in a meaningful payment services business. If the transaction is successfully
concluded, it will have a marked positive impact on the Araxi Payments division. The Company will release
further details of the transaction in due course.

Accordingly, shareholders are advised to exercise caution when dealing in the Company's securities until
a full announcement is made.
