RENEWAL OF CAUTIONARY ANNOUNCEMENT

Shareholders are referred to the cautionary announcement released on 3 December 2025 in terms of
which shareholders were advised that Araxi was in advanced discussions regarding a potential acquisition
of a controlling interest in a meaningful payment services business, and that if the transaction is
successfully concluded, it will have a marked positive impact on the Araxi Payments division.

Araxi remains in an advanced stage of discussions regarding the potential acquisition. Accordingly,
shareholders are advised to continue to exercise caution when dealing in the Company's securities until a
further announcement is made.
