Murray & Roberts - removal of the listing
In light of the granting of a final winding-up order against Murray & Roberts Holdings by the High Court of South Africa on 27 October 2025 ("Final Winding-up Order"), and the proposed acquisition of the Cementation and TNT businesses pursuant to the business rescue proceedings in respect of its downstream subsidiary, Murray & Roberts Ltd. ("MRL"), the Company has acknowledged that there is no prospect of it being able to distribute any returns to Shareholders, nor for the Company to re- establish its operations. In the circumstances, the continued listing of Murray & Roberts Holdings is no longer feasible.
As a consequence, the Company intends to cooperate with the JSE Ltd. ("JSE") in implementing the removal of all the ordinary shares from the list of securities admitted to trading and the concomitant termination of its listing from the JSE ("Removal of Listing"). As part of the Removal of Listing, Shareholders are advised that following the termination (as announced on 7 October 2019) by Deutsche Bank Trust Company Americas of its sponsored American Depositary Receipt programme in or around 13 January 2020, no such programme, sponsored or otherwise remains in existence.
