Pepkor - board and board committees changes Notice was given to shareholders and noteholders that Richard John Wainwright ("Richard") has been appointed as an Independent Non-Executive Director, with effect from 24 February 2026. Pepkor shareholders and noteholders were further advised that Louis du Preez ("Louis") will retire from the board and consequently from the Investment Committee, Nominations Committee and the Human Resources and Remuneration Committee at the company's Annual General Meeting on 24 February 2026 (the "AGM"). In terms of the company's Memorandum of Incorporation, Louis is due to retire from the Pepkor board by rotation at the AGM. Ian Kirk ("Ian") has been appointed to the Nominations Committee with effect from 24 February 2026. Ian currently chairs the Investment Committee and serves on the Human Resources and Remuneration Committee.
