Exxaro - acquisition of manganese assets
Exxaro announced that the First Sale Transaction relating to the acquisition of select manganese assets from Ntsimbintle Holdings (Pty) Ltd. and OMH (Mauritius) Corp Transaction have been implemented and closed on Friday, 27 February 2026.
Mokala Sale Transaction
As previously announced, the Mokala Sale Transaction remains subject to the fulfilment of the remaining suspensive conditions related to Mokala as outlined in the Transaction Announcement. The Long Stop Date in relation to the Mokala Sale Transaction is 27 February 2027.

Exxaro - refinancing of R13 billion facilities
Exxaro announced that it successfully reached financial close on R13 billion in new term facilities, financed by a syndicate of nine local South African commercial banks, asset managers and international lenders, replacing its existing R10 billion corporate facilities due for maturity in April 2026. The New Facilities are unsecured and have been concluded on normal commercial terms that are more favourable than the existing facilities.

Exxaro - acquisition becomes unconditional
All the suspensive conditions relating to the First Sale Transaction and OMH (Mauritius) Corp (OMH) Transaction have been fulfilled and/or waived. Accordingly, the First Sale Transaction and OMH Transaction have become unconditional and are expected to be implemented on or before 27 February 2026.
Mokala sale transaction
The Mokala Sale Transaction remains subject to the fulfilment of the remaining suspensive conditions related to Mokala as outlined in the Transaction Announcement. The Long Stop Date in relation to the Mokala Sale Transaction is now 27 February 2027.
A further SENS announcement will be made in respect of the fulfilment of the remaining suspensive conditions and/or closing of the Mokala Sale Transaction in due course.
