Dealing in securities
In compliance with paragraphs 3.63 - 3.74 of the Listings Requirements of
the JSE Limited, shareholders are advised that Gold Fields has granted, on
15 March 2007 ("the Grant Date"), Share Appreciation Rights ("SARS") and
Performance Vesting Restricted Share ("PVRS") to the directors and company
secretaries set out below.
SARS are offered at a fixed strike price and on vesting entitle the person
to whom they have been granted a right to the corresponding number of
shares. The Company at its sole discretion can decide to settle the SARS
by awarding a corresponding number of shares or the equivalent in cash.
PVRS are offered at a zero strike price and the amount of shares/cash is
determined by taking in account the appreciation of the price of the
Company`s Shares against the Philadelphia XAU Index over the three year
period commencing on the grant date. A beneficiary is entitled to receive,
depending on the performance of the Company, 0 - 200% of the PVRS provided
the performance of the Company`s share price relative to the index exceeds
25%, below which zero will be awarded. The beneficiary entitlement will be
settled, at the Company`s discretion, in the Company`s shares or in cash.
