FULFILMENT OF THE CONDITIONS PRECEDENT AND FINAL SALIENT DATES AND TIMES
ANNOUNCEMENT
1. Fulfilment of final conditions precedent
Shareholders are referred to the circular, embodying the scheme of arrangement
between Peermont Global and its ordinary shareholders, posted to shareholders on
20 February 2007 and to the subsequent announcement published on SENS on 20
March 2007 regarding the outstanding conditions precedent. Shareholders are now
advised that:
1.1 the Order of Court sanctioning the scheme has been timeously registered by
the Registrar of Companies in terms of the Companies Act, No. 61 of 1973;
1.2 approval of the transactions was received from the North West Gambling
Board and the Mpumalanga Gambling Board; and
1.3 Opalton Investments (Proprietary) Limited has waived the outstanding
conditions precedent in relation to the remaining gambling board approvals.
Accordingly, all of the conditions precedent to the scheme have been fulfilled
and the scheme is unconditional with effect from today.

The final salient dates and times in relation to the scheme are set out below:

Notes:
1. No dematerialisation or re-materialisation of Peermont Global share
certificates will take place from the last business day to trade in order to be
recorded on the register on the record date for the scheme (which last business
day to trade is presently scheduled to be Friday, 13 April 2007).
2. All references to times in this document relate to South African local
times unless otherwise stated.
3. Amount of final consideration
The amount of the final consideration payable to Peermont Global shareholders on
Tuesday, 24 April 2007 is R13.08, being the scheme consideration of R12.90 per
Peermont Global ordinary share, increased with reference to interest at the
prime rate plus 2% from 20 March 2007 up to implementation date, being Tuesday
24, April 2007.
4. Resignation of Director
Ernie Joubert has resigned as a Director of Peermont Global, effective
immediately. Mr. Joubert has also resigned from the post of Chief Executive
Officer with immediate effect. Anthony Edward Puttergill, currently Deputy Chief
Executive Officer of Peermont Global, will be appointed as the acting Chief
Executive Officer of the Company.
