Announcement to shareholders
Foschini shareholders are referred to the announcement dated 29 August 2005
relating to the acquisition by the Standard Bank of South Africa Limited (SBSA)
of an initial 25% of RCS Investment Holdings (Proprietary) Limited and the
subsequent announcement dated 30 November 2005 regarding the fulfilment of
conditions precedent.
Shareholders are now advised that the 2007 call option that was exercisable by
SBSA during a period of 20 business days commencing 1 April 2007 was exercised
on 13 April 2007. The effective date of this transaction is 1 April 2007.
In exercising this option, SBSA has acquired an additional 10% of RCS Investment
Holdings (Proprietary) Limited.
SBSA`s shareholding in RCS Investment Holdings (Proprietary) Limited thus
increases to the maximum possible in terms of the initial transaction being 45%.
