Introduction
SA Eagle shareholders ("shareholders") are advised that a circular was posted to
shareholders on the 16th of April 2007, regarding the change of name of the
Company to Zurich Insurance Company South Africa Limited ("Zurich SA") ("the
change of name") and incorporating a notice of general meeting, a form of proxy
and a form of surrender ("the circular").
Rationale for the change of name
SA Eagle has been a member of the Zurich Group ("Zurich") since 1997 and, since
2004, has formed part of Zurich`s International Businesses area. The focus of
the International Businesses is to become a leading provider of insurance and
risk solutions for individuals and corporations. South Africa is an important
part of the growth focus of the international operations of the Group as it
provides a footprint in an attractive growth market as well as continuing to
support the global franchise for corporate customers.
As part of the one Zurich global brand programme, business units in various
jurisdictions are being considered for brand migration. While SA Eagle already
enjoys a good reputation in the market, the Company will benefit from the
stature and reputation of a truly global brand such as Zurich. Migrating to the
Zurich brand will clearly indicate to the market the financial strength and
international capability behind the South African operation. The local business
unit will also be able to reap the benefits of global marketing spend.
Migrating to the Zurich brand is a clear commitment to the value of the
particular business unit. Zurich considers South Africa as one of its key growth
areas within International Businesses.

A general meeting of shareholders will be held on Wednesday, 9 May 2007 at
12:00pm at SA Eagle House, The Braes, Block D, 193 Bryanston Drive, Bryanston.

The dates and times provided for in the circular are subject to amendment. Any
such amendment will be published on SENS. Shareholders will not be able to
dematerialise or rematerialise securities in the name of SA Eagle after Friday,
27 July 2007, and may only dematerialise their new Zurich SA shares from Monday,
6 August 2007.
Shareholders who surrender their existing documents of title after the record
date, will have their new share certificates mailed within five business days of
receipt thereof by the transfer secretaries, by registered post in South Africa,
at the risk of the shareholder concerned.
