("SA Corporate")
Fulfilment of conditions precedent in respect of the offer (the "Offer") by SA
Corporate to SA Retail Properties Limited ("SA Retail") linked unitholders
(the "Acquisition")
Further to the announcement dated 12 April 2007, the Acquisition was conditional
upon the fulfilment of following suspensive conditions:
- SA Corporate procuring acceptances for the Offer from those SA Retail
linked unitholders, holding at least nine tenths of the SA Retail
linked units in issue; and
- obtaining the requisite approvals from the Competition Authorities.
The above conditions to which the Acquisition was subject, have been fulfilled
in that the requisite approvals from the Competition Authorities have been
obtained and SA Corporate has secured irrevocable acceptances for the Offer
from SA Retail linked unitholders holding approximately 97% of the SA
Retail linked units in issue. Accordingly the Acquisition is now
unconditional.
