Fulfilment of conditions precedent in respect of the offer by SA Corporate to
acquire all the SA Retail linked units in issue ("the Offer")
1. Fulfilment of conditions precedent
Further to the announcement dated 12 April 2007, the Offer was
conditional upon the fulfilment of the following suspensive conditions:
- SA Corporate procuring acceptances for the Offer from those SA
Retail linked unitholders, holding at least nine tenths of the SA
Retail linked units in issue; and
- obtaining the requisite approvals from the Competition Authorities.
The above conditions to which the Offer was subject have been fulfilled
in that the requisite approvals from the Competition Authorities have
been obtained and SA Corporate has secured irrevocable acceptances for
the Offer from SA Retail linked unitholders holding approximately 97% of
the SA Retail linked units in issue. Accordingly the Offer is now
unconditional.
2. Salient dates and times of the Offer
SA Retail linked unitholders are referred to paragraph 3 of the
announcement dated 12 April 2007 which sets out the revised salient dates
and times of the Offer. The Offer closes on Friday, 4 May 2007.
