RESULTS OF THE SANTAM PRO RATA VOLUNTARY OFFER AND THE SANLAM OFFER
Friday, 20 April 2007 was the closing date for both the offer by Santam to
repurchase up to 10% of Santam`s issued ordinary shares from all Santam ordinary
shareholders at an offer price of R102 per Santam share (the "voluntary
repurchase offer") and the offer by Sanlam to purchase Santam shares tendered in
excess of 10% of Santam`s issued ordinary shares at the same offer price up to a
maximum number of Santam shares which, when aggregated with Santam shares
already held by Sanlam in its shareholders` funds, will not exceed 74.99% of
Santam`s issued ordinary shares (the "Sanlam offer").
Santam has received total tenders in respect of 6 972 940 Santam shares,
representing 5.88% of Santam`s issued ordinary shares. As the total number of
Santam shares tendered is not in excess of 10% of Santam`s issued ordinary
shares, all Santam shares tendered will be repurchased pursuant to the voluntary
repurchase offer. Sanlam will not purchase any Santam shares in relation to the
Sanlam offer.
