RESULTS OF SCHEME MEETING AND GENERAL MEETING
Shareholders are advised that the scheme of arrangement in terms of section 311
of the Companies Act, 1973 (Act 61 of 1973), as amended, ("the Act") proposed by
Central Plaza Investments 112 (Proprietary) Limited between Santam and its
shareholders, other than the wholly-owned subsidiary of Santam, Guardian
National Insurance Company Limited, ("the scheme") was approved by the requisite
majority of scheme members at the scheme meeting held on Thursday, 26 April
2007.
The chairperson of the scheme meeting will report the results thereof to the
High Court of South Africa (Cape of Good Hope Provincial Division) ("the Court")
at 10:00, or so soon thereafter as Counsel may be heard, on Monday, 7 May 2007.
A copy of the chairperson`s report to the Court will be available (free of
charge) to any Santam shareholder at the registered office of Santam at 1
Sportica Crescent, Tyger Valley, Bellville; and the office of Santam`s legal
advisers at Cape Town, 5th Floor, the Foundry, Prestwich Street, Green Point and
at Johannesburg, 4th Floor, Jowell Glyn & Marais House, 72 Grayston Drive,
Sandton, during normal business hours from Monday, 30 April 2007.
The implementation of the scheme is still subject to, and will only become
operative upon, the fulfilment of the following conditions precedent:
- the Court granting an order sanctioning the scheme in terms of section
311 of the Act; and
- the Registrar of Companies registering a certified copy of the Order of
Court sanctioning the scheme, in terms of the Act.
Shareholders are further advised that at the general meeting held on Thursday,
26 April 2007, all the resolutions proposed at the General Meeting were approved
by the requisite majority of Santam shareholders.
The salient dates and times contained in the circular to Santam shareholders
dated Monday, 26 March 2007 and as announced on Monday, 26 March 2007 remain
unchanged. A further announcement regarding the fulfilment of the conditions
precedent, the outcome of the application to the Court and any update to the
salient dates relating to the implementation of the scheme will be released on
SENS on or about Tuesday, 8 May 2007 and published in the press on or about
Wednesday, 9 May 2007.
