SANCTIONING BY THE HIGH COURT OF THE SCHEME OF ARRANGEMENT
Shareholders are advised that the scheme of arrangement in terms of section 311
of the Companies Act, 1973 (Act 61 of 1973), as amended, proposed by Central
Plaza Investments 112 (Proprietary) Limited between Santam and its shareholders,
other than the wholly-owned subsidiary of Santam, Guardian National Insurance
Company Limited ("the scheme"), was sanctioned by the High Court of South Africa
(Cape of Good Hope Provincial Division) on Monday, 7 May 2007.
A certified copy of the Order of Court sanctioning the scheme will be lodged
with the Registrar of Companies ("the Registrar") on Tuesday, 8 May 2007 and is
expected to be registered shortly thereafter. Upon the Registrar`s registration
of the Order of Court, all conditions precedent relating to the scheme would
have been fulfilled.
The scheme will be implemented according to the timetable contained in the
circular to Santam shareholders dated Monday, 26 March 2007.
Shareholders are reminded that the last day to trade in order to participate in
the scheme will be Friday, 11 May 2007 and the operative date of the scheme will
be Monday, 21 May 2007.
