SANCTIONING OF THE SCHEME OF ARRANGEMENT
Further to the announcement of 20 April 2007, Barplats shareholders are
advised that the scheme of arrangement as proposed by Eastplats in terms of
section 311 of the Companies Act No. 61 of 1973, as amended, between
Barplats and all of its ordinary shareholders, excluding certain excluded
parties ("the scheme"), was sanctioned today, Wednesday, 9 May 2007, by the
High Court of South Africa (Transvaal Provincial Division) ("the Court").
A certified copy of the Order of Court sanctioning the scheme will be
lodged with the Registrar of Companies on Thursday, 10 May 2007, and is
expected to be registered shortly thereafter. Upon such registration of the
Order of Court, all of the conditions precedent to the scheme would have
been fulfilled, save for the approval of the Toronto Stock Exchange, which
is expected to be granted on or about Wednesday, 16 May 2007.
The salient dates and times as set out in the joint announcement of 1 March
2007 remain unchanged. Barplats shareholders are reminded that the last
date to trade in their Barplats shares in order to participate in the
scheme is Friday, 18 May 2007, the record date is Friday, 25 May 2007 and
the operative date of the scheme will be Monday, 28 May 2007. Any changes
to the salient dates and times will be published in the press and released
on SENS.
