agreement with WDB Investments Holdings (Proprietary) Limited and Dimension Data
(South Africa) (Proprietary) Limited (as nominees for The Britehouse Group
(Proprietary) Limited). In terms of this agreement, the Paracon Holdings Limited
shares are subject to various rights and obligations including inter alia pre-
emptive rights. The price was determined by reference to the formula set out in
the agreement which takes into consideration the 15 day weighted average price
of the shares preceding the offer date, being 7 May 2007. The Britehouse Group
(Proprietary) Limited has exercised its rights to acquire the shares within the
acceptance period.
