("Command" or "the Group" or "the Company")
Statement by CHL regarding the Order of Provisional Curatorship granted in
the Pretoria High Court on 10 May 2007 in connection with the Command
Provident Fund.
1. At the outset a distinction must be drawn between the Command
Provident Fund ("CPF") and the Provident Fund conducted by
CHL. These are two separate and different funds.
2. The so-called CPF was established by the previous owners of the
security business in Witbank and the security contracts were
acquired from the vendor during April 2005. Accordingly dealings
prior to that date were outside the control of CHL.
3. Any shortcomings of the Trustees cannot be held to be the
responsibility of CHL. Nonetheless, CHL is presently in liaison
with the Chairman of the CPF in order to establish the exact
situation. Once this is accomplished, it is intended to meet
with the Curator as a matter of urgency and well before the
return date of 19 June 2007.
4. CHL can categorically state that it will ensure that such amounts
as may be lawfully owing by the CPF will be settled without
prejudice to the rights of CHL to recoup same from the vendors
from whom it acquired the Witbank operations.
5. All subsidiaries trading within the CHL group are Members of the
Private Security Sector Provident Fund administered by NBC
Holdings (Pty) Ltd. All its employees are members of the Fund
and all its payments are up to date.
6. CHL is satisfied that is has no outstanding obligations towards
CPF.
7. CHL undertakes to provide its full cooperation to the Curator in
order to resolve the matter as swiftly as possible particularly
given the fact that it has not been responsible for the problems
which have lead to the granting of a Curatorship.
