APPROVAL OF THE CHANGE IN CONTROL OF AGPTM AND PROPOSED CHANGE OF NAME
OF GRAYPROP
1. Approval of the change in control of AGPTM
Unitholders are referred to the announcement of 2 May 2007 in which it
was stated that, subject to the necessary regulatory approvals, The
Standard Bank of South Africa Limited had purchased from Allan Gray
Limited their interests in AGPTM and resultantly will become the sole
shareholder in AGPTM ("the acquisition"). Unitholders are informed that
all necessary regulatory approvals have now been obtained and that the
acquisition is effective from 1 June 2007.
2. Proposed change of name of Grayprop
Pursuant to the acquisition, Grayprop is required to change its name.
Unitholders are advised that Grayprop proposes to change its name to
Fountainhead Property Trust and AGPTM to Fountainhead Property Trust
Management Limited. The name changes have been approved by the Registrar
of Collective Investment Schemes and is subject to the approval of the
JSE Limited.
3. Documentation
A circular will be posted to Grayprop unitholders on or about Friday, 25
May 2007, which will contain full details of the proposed name change
and a form of surrender to be completed by certificated unitholders
("the circular").

Change of name effective from close of Friday, 1 June

Notes:
1. These dates and times are subject to change. Any such change will
be announced on SENS and published in the South African press. Any
references to time is a reference to South African time.
2. Unitholders will not be able to dematerialise or rematerialise
securities in the name of Grayprop after Friday, 1 June 2007, and may
only dematerialise their new Fountainhead Property Trust units from
Monday, 11 June 2007.
3. Grayprop certificated unitholders who surrender their existing
documents of title after the record date, will have their new unit
certificates mailed within five business days of receipt thereof by the
transfer secretaries, by registered post in South Africa, at the risk of
the unitholder concerned.
