TRANSFER OF LISTING TO THE ALTERNATIVE EXCHANGE ("Altx")
The directors are pleased to announce that the JSE Limited ("the JSE") has
formally approved the transfer of the Company`s listing to AltX. The Company`s
securities will commence trading on AltX from commencement of business on 1 June
2007.
At the date of transfer of listing the authorised share capital of StratCorp
comprises 400 000 000 ordinary shares with no par value, of which 104 601 132
ordinary shares are in issue.
1. Incorporation and history
StratCorp is an investment holding company with diversified operations in
private equity, marketing and distribution and property development.
StratCorp, incorporated on 21 December 2001, was listed on the VCM board of
the JSE on 6 December 2001. Being a start up operation in 2001, the company
has now grown and established its operations in the private equity
environment through StratEquity (Pty) Ltd (a wholly owned subsidiary)
through which funding in excess of R150 million has been facilitated for
various companies. In 2004 the company established its property development
leg through a 51% equity holding in Citadin Holdings Ltd and in September
2006 acquired the outstanding 49%.
Having more than 40 000 monthly subscription clients on its books, which
has been growing at a rate of more than 80% per annum over the past three
years as well as three residential property development projects (through
Citadin) with an expected selling value of more than R220 million over the
next 3 years, the StratCorp group is at a point where its income streams
are predictable and its profitability sustainable.
The group is well positioned to take operations to a higher level therefore
ensuring sustained earnings for the company. The board is satisfied that
the group has perfected is business plan and the subsidiaries will continue
contributing healthy profits and generating positive cash flows.
2. The JSE has approved the transfer of the listing of StratCorp from the VCM
board to AltX from the commencement of trade on Friday, 1 June 2007.

4. Listing on AltX
The JSE has formally approved the transfer of the listing of 104 601 132
ordinary shares in the share capital of StratCorp on AltX, with effect from
the commencement of trade on Friday, 1 June 2007. The shares will trade
under the abbreviated name "StratCorp", with the JSE code "STA" and the
ISIN "ZAE000034294".
Shareholders are advised that the Company`s share certificates are
currently endorsed in terms of the JSE Listings Requirements for companies
listed on the Venture Capital Market, whereas no endorsement is required
for AltX. Share certificates, which are endorsed, as being listed on the
Venture Capital Market will still be accepted for dematerialisation and are
still valid share certificates representing registration as a shareholder.
