In accordance with Rule 3.63 to 3.74 of the JSE Listings Requirements, the
following is disclosed:
NATURE OF TRANSACTION:
Shareholders have approved the split of The Tongaat-Hulett Group into two
separate, listed entities: Tongaat Hulett, an agri-processing business with
integrated components of land management, property development and agriculture;
and Hulamin, an independent niche producer of rolled, extruded and other semi-
fabricated and finished aluminium products. The transactions include the listing
and unbundling of Hulamin, BEE equity transactions and a share repurchase. The
circular to shareholders relating to these transactions included detail on the
approach to the share incentive schemes and the following share incentive scheme
transactions, prior to the corporate restructuring, are in accordance therewith.

SHARE APPRECIATION RIGHTS - these relate to rights granted with strike prices of
R57.58 and R96.09. The requisite performance conditions were tested and assessed
as being fully met. There has been a partially accelerated vesting of these
awards based on the time that has been served up to the unbundling. The
following participants have elected to exercise some of their rights, which
results in a calculated (i.e. in respect of the appreciation above the strike
price) number of shares being acquired and delivered to the participants (as a
benefit on which tax is to be paid by the participants)
