ADJUSTMENT TO THE TERMS AND CONDITIONS OF THE NEDBANK TONGAAT-HULETT GROUP
LIMITED SHARE INSTALMENT
Following the recent announcement, THE TONGAAT-HULLET GROUP LIMITED (TNT) will
be unbundling 50% interest in Hulamin. The unbundling will result in two
separately listed entities:
* Tongaat-Hulett (TON)
* Hulamin (HLM)
Shareholders will receive one Hulamin ordinary share for every Tongaat-Hullet
Group ordinary share held prior to the unbundling. In addition Tongaat-Hullet
Group will change its name to Tongaat Hulett Limited (TON).
Details Of The Event:
* In order to be eligible for the split, the last day to trade Tongaat-Hullet
Group is the 22/06/2007.
* Tongaat-Hullet Group will be suspended from commencement of trade on
25/06/2007.
* As of the 25/06/2007 Tongaat-Hullet Group will undergo a name change and be
listed as Tongaat Hullet. (TON)
* First dealing date for Hulamin will be the 25/06/2007.
* Shareholders will receive one Hulamin ordinary share for every Tongaat-
Hulett Group ordinary share held prior to the unbundling.
Value Of The Split
As announced in the detailed cautionary, the transaction values will be
determined by applying a relative split of 71.5% Tongaat-Hullet and 28.5%
Hulamin.
The Issuer will amend the Share Instalment Terms and Conditions in the following
way:
* A Hulamin share instalment will be listed in line with the underlying.
(HLMNIA) Shareholders will receive one HLMNIA for every Tongaat-Hullet Group
share instalment held prior to the unbundling. (TNTNIA)
* The Tongaat-Hullet Group share instalment will change its name to Tongaat
Hulett Limited. The share instalment code will therefore change from TNTNIA
to TONNIA.
* The strike price of the TNTNIA (TONNIA) will be amended to R33.85.
* The strike price of HLMNIA will be R13.50.
* Trading in the TNTNIA will be suspended on commencement of trade on
25/06/2007 and trading in the TONNIA will commence on the 26/06/2007.
