CHANGES TO THE BOARD OF DIRECTORS OF THE COMPANY AND WITHDRAWAL OF CAUTIONARY
ANNOUNCEMENT
The following changes have been made to the board of directors of Samrand
Development Holdings Limited:
Mr Pierre Berrange has resigned with effect from 25 June 2007, and Messrs Andrew
Wilkins and Theo van den Heever have resigned with effect from 26 June 2007.
Messrs Cosmas Cavaleros, Stanley Mervyn Rothbart and Andrew Fischer have been
appointed with effect from 26 June 2007.
The full board of Samrand shall consist of the following as from 26 June 2007:
IDP Burger Non-executive director
MD Lamola Non-executive director
NB Egan Executive director
C Cavaleros Non-executive
SM Rothbart Non-executive
A Fischer Non-executive
The above changes to the board of directors of Samrand are as a direct result of
the acquisition of a majority shareholding in the company by Cavcon (Pty)
Limited.
Shareholders are further advised that as a result of the above change in
majority shareholder, the NRB settlement agreement, in terms of which Samrand
and NRB Risk Solutions Limited had agreed to settle NRB Risk Solutions Limited`s
claim against Samrand in the amount of R120 million, has lapsed and no further
documentation in this regard will be sent to shareholders. Accordingly, the
cautionary is now withdrawn.
