RESULTS OF THE REMGRO OFFER FOR RAINBOW SECURITIES
The alternative offer ("the offer") as detailed in annexure 13 of the circular
to Rainbow shareholders dated 15 May 2007, and as amended in an announcement to
Rainbow shareholders on 5 June 2007, closed at 12:00 on 29 June 2007.
Before the commencement of the offer, Remgro and its subsidiaries held 173 996
803 Rainbow shares, or a 61.5% economic interest.
Valid acceptances of the offer have been received in respect of 30 236 876
Rainbow ordinary shares.
Of these acceptances:
- 27 749 336 shares were tendered on election of the cash consideration offer
of R16.00 per Rainbow share, and
- 2 487 540 shares were tendered on election of the share consideration of
8.1 Remgro shares per tranche of 100 Rainbow shares.
An additional 10 699 024 Rainbow shares were acquired by Remgro and its
subsidiaries in the market at R16.00 per share during the offer period.
Remgro and its subsidiaries now own 214 932 703 Rainbow shares, or a 74.1%
economic interest in Rainbow. The issued capital of Rainbow comprises 290 004
228 shares.
