ADJUSTMENTS TO THE TERMS AND CONDITIONS OF THE STANDARD BANK BARLOWORLD LTD AND
PRETORIA PORTLAND CEMENT TURBO SHARE INSTALMENTS
Following the Barloworld Ltd ("BAW") Pretoria Portland Cement ("PPC") unbundling
announcement, PPC shares will undergo a share split where 1 PPC share will
convert into 10 shares. In addition BAW share holders will receive 1.8555 PPC
shares for every 1 BAW share held.
Following this announcement, notice is hereby given that holders of 1 Barloworld
Ltd share instalment ("BAWSTA") prior to the unbundling will receive 1.8555 PPC
(PPC post the 10 for 1 share split) new turbo share instalments ("PPCSTB"). The
terms of the BAWSTA turbo share instalments will be adjusted to place turbo
share instalment holder in the same financial position they were prior to the
unbundling. The terms of the new share instalments, PPCSTB, shall be determined
at the close of business on 6th July 2007. Due to the share split the strike
price on the existing PPC turbo share instalment ("PPCSTA") will be adjusted
accordingly and holders will receive 10 PPCSTA share instalments for every 1
PPCSTA held.

The last day to trade to qualify for the unbundling is the 6th July 2007. The
Effective Date of the adjustments shall be 9th July 2007.
The JSE Limited (JSE) Issuer Services Division has approved the adjustment of
the above-mentioned share instalments.
This Notice together with the Common Terms Document and Conditions Annexure
record the terms and conditions of the agreement between the Parties. Any terms
used in this Notice which are defined in the Common Terms Document, Conditions
Annexure and the relevant Supplements shall bear the meaning ascribed to them
therein, unless specifically stated otherwise herein. Other than as set out
herein, the terms and conditions set out in the Common Terms Document,
Conditions Annexure and relevant Supplements remain unchanged and in full force
and effect.
