SANCTIONING OF THE SCHEME OF ARRANGEMENT AND FINALISATION ANNOUNCEMENT          
FULFILMENT OF THE REMAINING CONDITIONS PRECEDENT TO THE SCHEME                  
Further to the announcement published on the Securities Exchange News Service   
("SENS") of the JSE Limited ("JSE") on Friday, 29 June 2007 and in the press on 
Monday, 2 July 2007, Investec Bank Limited is authorised to announce that the   
remaining conditions precedent to the scheme of arrangement ("the scheme")      
proposed by Sun International and its wholly owned subsidiary, Sun International
Investments No. 2 Limited ("Sun International Investments No. 2") between Sun   
International and its ordinary shareholders other than Dinokana Investments     
(Proprietary) Limited ("Dinokana"), the Sun International Employee Share Trust, 
Sun International Investments No. 2 and the participants of the Sun             
International Deferred Bonus Plan 2005 (collectively "the excluded              
shareholders") ("the scheme participants"), being the registration of the       
special resolutions approving the acquisition of the Sun International ordinary 
shares to be acquired in terms of the scheme by Sun International and Sun       
International Investments No. 2  by the Registrar of Companies ("the            
Registrar"), the sanction of the scheme by the High Court of South Africa       
(Witwatersrand Local Division) and the registration of the order of court       
sanctioning the scheme by the Registrar have now been fulfilled.                
The basic characteristic of the scheme is that the scheme participants will, on 
the scheme record date set out in paragraph 2 below, dispose of 16 Sun          
International ordinary shares per 100 Sun International ordinary shares ("scheme
shares") held by each scheme participant to Sun International and Sun           
International Investments No. 2 in return for the payment of R145,35 for each   
scheme share disposed of ("the scheme consideration").

rematerialisation of Sun International ordinary shares under the new ISIN       
ZAE000097580 will re-commence after Monday,30 July 2007.
