NO CHANGE STATEMENT, NOTICE OF ANNUAL GENERAL MEETING AND DISCLOSURE OF
HISTORICAL FINANCIAL INFORMATION IN PROSPECTUS
Shareholders are advised that the annual financial statements for the year
ended 28 February 2007 ("the annual financial statements") will be distributed
to shareholders today, Friday 3 August 2007, and contain no modifications to
the audited results, published on SENS on 22 May 2007.
The annual financial statements were audited by Nexia HBLT Chartered
Accountants (East Rand) Inc. whose unqualified report is available for
inspection at the company`s registered office.
The notice of the Annual General Meeting will be posted to shareholders today
with the annual financial statements. Notice is hereby given that the Annual
General Meeting of shareholders will be held on Thursday, 30 August 2007 at
11h00, at Africa Cellular Corporate Park, 10 Tennyson Drive, Tulisa Park,
Johannesburg to transact business as stated on the notice of the Annual
General Meeting.
The JSE Limited, on advice received from the GAAP Monitoring Panel ("GMP"),
indicated certain financial disclosure deficiencies in Annexure 2, relating to
the historical financial information in the prospectus, issued by ACTOWERS on
16 November 2006 ("the prospectus").
These deficiencies relate to disclosure in terms of International Financial
Reporting Standards ("IFRS") and had no material financial effect on the
results or the financial position of ACTOWERS as disclosed in the prospectus.
The disclosures in respect of the prospectus were amended in the annual
financial statements, which provide three year historical annual financial
information. The deficiencies in disclosure in terms of IFRS and SA GAAP are
identified individually on page 42, Note 2 of the annual financial statements.
