As part of the dual listed company structure, Investec plc and Investec Limited
notify both the London Stock Exchange and the JSE Limited of matters which are
required to be disclosed under the Disclosure, Transparency and Listing Rules of
the United Kingdom Listing Authority (the "UKLA") and/or the JSE Listing
Requirements.
Accordingly, we advise of the following:
ADDITIONAL AND BLOCK LISTINGS PURSUANT TO THE ACQUISITION OF KENSINGTON GROUP
PLC
Applications have been made to the UK Listing Authority (the "UKLA") and the
London Stock Exchange (the "LSE") for the following listings of Investec plc
Ordinary Shares of GBP0.0002 each (the "New Ordinary Shares"):
1. the additional listing of up to 36,824,555 New Ordinary Shares; and
2. the block listing of 624,995 New Ordinary Shares
to trade on the LSE and to be admitted to the Official List upon issuance. The
shares will rank pari passu with the existing issued ordinary shares of the
Company.
Pursuant to the dual listed company structure, Investec plc has also applied to
the JSE Limited for the admission to trading of the New Ordinary Shares.
The additional listing of up to 36,824,555 New Ordinary Shares is pursuant to
the conditions set out in the Scheme of Arrangement between Investec plc and
Kensington Group plc as announced on 30 May 2007.
Additionally, application has been made to the UKLA for the block listing and
the LSE for a block admission to trading of 624,995 Investec plc New Ordinary
Shares to be issued to the existing employee share schemes, as set out below, of
Kensington Group plc following its acquisition by Investec plc.
