CANCELLATION AND DELISTING OF 11 323 838 ORDINARY SHARES
Following the implementation of the scheme of arrangement ("the scheme")
proposed by Sun International and its wholly owned subsidiary, Sun International
Investments No. 2 Limited ("Sun International Investments No. 2") between Sun
International and its ordinary shareholders other than Dinokana Investments
(Proprietary) Limited, the Sun International Employee Share Trust, Sun
International Investments No. 2 and the participants of the Sun International
Deferred Bonus Plan 2005, which became operative on Monday, 30 July 2007, Sun
International repurchased and cancelled 11 323 838 Sun International ordinary
shares.
Application has been made to the JSE for the delisting of the 11 323 838 Sun
International ordinary shares acquired by Sun International.
The ordinary shares cancelled represent 9,7% of the issued share capital of the
company and following the cancellation the issued share capital of the company
comprises 105 494 769 ordinary shares with a par value of 8 cents each.
4 760 995 Sun International ordinary shares were repurchased by Sun
International Investments No. 2. A total of 10 549 477 Sun International
ordinary shares are now held by Sun International Investments No. 2 as treasury
shares, comprising 10% of the Sun International ordinary shares in issue.
