RESULTS OF PRIVATE PLACEMENT
Java Capital is authorised to announce the results of the
private placement of ordinary shares in the company.
Pursuant to the private placement, the company received
offers from more than 200 applicants for a total of more
than 68.5 million shares at R2 per share, in respect of
which:
- the company placed 31 million shares with select
investors for an aggregate subscription price of R62
million; and
- existing shareholders in the company ("vendors") placed
a further 6 156 709 shares with select investors for an
aggregate sale price of R12 313 418.
In the course of the private placement, a black-owned
investment company offered to purchase 15 million shares on
the basis that it would hold the shares for not less than 5
years. To accommodate this applicant, the vendors reduced
the number of shares they offered for sale pursuant to the
private placement by 15 million shares. Further details of
this BEE transaction, effected at no cost to the company,
are separately announced.
Subject to application cheques having cleared, refund
cheques will be posted to unsuccessful applicants no later
than Friday, 7 September 2007.
Accordingly, 233 526 089 shares in Ellies will be listed on
the Alternative Exchange of the JSE Limited with effect from
the commencement of trade on the JSE on Wednesday, 5
September 2007.
