BLACK EMPOWERMENT TRANSACTION                                                   
Shareholders are advised that Peu Group (Pty) Ltd (Peu), Super Group`s          
empowerment partner, will be required to reduce its effective shareholding in   
the Company from 25.6% to a minimum of 16.1%.                                   
Peu entered into a financing arrangement with Deutsche Bank AG, London Branch in
2004 to fund a portion of its acquisition of Super Group shares. In terms of the
funding arrangement Peu is obliged to settle its loan obligations and           
accordingly will have to sell some of its shareholding in Super Group. The      
extent of the shareholding reduction is dependent on the disposal proceeds.     
Peu`s sale of shares will extinguish all Peu`s obligations under the funding    
arrangement.                                                                    
Peu remains committed to the success of Super Group and has no intention to     
reduce its shareholding further. Peter Malungani will continue as chairman of   
Super Group.                                                                    
Super Group is committed to broad based black economic empowerment and will look
to maintain its Black Economic Empowerment shareholding above 25%. Super Group`s
growth prospects for the year ahead will not be affected by this change in      
shareholding.
