DIRECTORS` DEALINGS
Shareholders are referred to the announcement released on SENS on 13 September
2005 and the circular distributed on 15 November 2005 regarding Discovery`s
Black Economic Empowerment ("BEE") transaction in terms of which shares
equivalent to approximately 1,0% of Discovery`s issued share capital (i.e. 0,93%
of the issued share capital post the BEE transaction) was allocated to Discovery
employees and black non-executive directors.
A portion of the 1,0% allocation to Discovery employees and black non-executive
directors have now been issued at a price of R26.25 and accordingly the
