DIRECTORS DEALINGS
Shareholders are referred to the announcement released on SENS on 13 September
2007 and published in the press on 14 September 2007 (the "terms
announcement"), relating to the detailed terms of the disposal of 3.6% of
Discovery by FirstRand Limited ("FirstRand") and the unbundling of FirstRand`s
remaining 53.4% to FirstRand shareholders.
As indicated in the announcement, FirstRand will, prior to the unbundling,
dispose of, in aggregate, 21,569,301 Discovery shares to Discovery senior
management, the Discovery share trust and RMB Holdings Limited. These
disposals are in terms of an existing pre-emptive right, and are conditional
on inter alia FirstRand shareholder approval to implement the unbundling. In
the terms announcement, it was announced that Adrian Gore and Barry Swartzberg
would collectively own 13.88% of Discovery, this has increased to 13.92% and
Discovery senior management`s shareholding has decreased to 3.53% from 3.58%
of Discovery.
In compliance with rule 3.63 to 3.66 of the JSE Limited Listings Requirements,
