CHANGE IN BOARD AND AUDIT COMMITTEE MEMBERSHIP
Dr Jacobus van Zyl Smit, an independent non-executive director and chairman of
the audit committee of Capitec and Capitec Bank Limited ("Capitec Bank"), the
wholly owned banking subsidiary of Capitec ("the companies"), has retired from
the boards of the companies effective 26 September 2007. Dr Van Zyl Smit was
the chairman of the audit committee of the companies from inception of the
Capitec banking group.
Mr Jacobus Pieter van der Merwe who has extensive banking experience will join
the boards of the companies and succeeds Dr Van Zyl Smit as an independent
chairman of the audit committee, with effect from 27 September 2007.
The boards of Capitec and Capitec Bank thank Dr Van Zyl Smit for his valued
contribution and wish him well in his future endeavours.
