DETAILED CAUTIONARY ANNOUNCEMENT
Shareholders are referred to the previous announcement dated 30 July 2007,
wherein it was stated that the majority shareholders of the company had disposed
of their entire shareholdings to a third party, namely Cavcon (Pty) Limited. As
a result of the disposal, there has been a change in control of the company, and
the third party shall be making a mandatory offer to shareholders in due course,
at a proposed offer price of 54 cents per share. A circular to this effect,
together with a fair and reasonable statement by an independent expert, are in
the process of being prepared and shall be posted to shareholders of Samrand
within 28 days from the date of this announcement.
The Securities Regulation Panel has been provided with the necessary guarantees
required for a transaction of this nature, by Cavcon (Pty) Limited.
Accordingly, shareholders are advised to exercise caution when dealing in their
Samrand shares.
