RESULTS OF ANNUAL GENERAL MEETING, GENERAL MEETING, APPOINTMENT OF NEW COMPANY
SECRETARY AND A CHANGE OF NAME OF THE COMPANY
RESULTS OF ANNUAL GENERAL MEETING AND GENERAL MEETING
Shareholders are advised that at the Annual General Meeting of shareholders held
at the registered office of the company at 10:00 today, all the ordinary
resolutions proposed, were passed by the requisite majority of shareholders.
Shareholders are further advised that at the General Meeting of shareholders
held at the registered offices of the company at 09:30 today, the ordinary
resolutions proposed to give effect to the adoption of a new Share Incentive
Scheme by the company, were passed by the requisite majority of shareholders.
APPOINTMENT OF COMPANY SECRETARY
The company is pleased to announce the appointment of MoreStat Corporate
Services (Pty) Limited as the company secretary to the company with immediate
effect.
CHANGE OF NAME OF THE COMPANY
Shareholders are advised that a circular to shareholders proposing a change of
name of the company from "Scharrig Mining Limited" to "Sentula Mining Limited"
was posted on 11 October 2007.
Schamin commenced business in the early 1970`s, with its core focus being
earthmoving and growing to include road and dam building. Over the past few
years, the company has expanded into opencast mining operations. With the
acquisition of Transbor (Pty) Limited and Geosearch Limited during 2006,
together with the acquisition of, amongst others, Ritchie Crane Hire, Benicon
(Pty) Limited and Pioneer Blasting Services over the past year, and the joint
venture agreements signed with regard to Nkomati Anthracite, Merafe Resources,
Jonah Coal and Aquila Resources, the board of directors of the company feel that
a change of name of the company at this stage is pertinent, in order to more
accurately reflect the changing nature of the company`s business, as well as its
increased presence in Sub-Saharan Africa.
It is proposed to change the name of the company, subject to shareholder
approval and the registration of the necessary special resolution by the
Registrar of Companies, to "Sentula Mining Limited", with effect from the
commencement of business on Monday, 26 November 2007.
A general meeting of shareholders will be held at 09:30 on Friday, 2 November
2007 at Glenhove Conference Centre, 52 Glenhove Road, Melrose Estate,
Johannesburg, to consider, and if deemed fit, pass with or without modification,
the special and ordinary resolutions required to give effect to the change of
name of the company.
