NOTICE OF INTENTION TO DISTRIBUTE SECURITIES
In terms of Canadian securities legislation, The Pelawan Trust ("Pelawan")
constitutes a `control person` as it owns sufficient Anooraq securities (119.3
million common shares and 167 million warrants) to materially affect the
control of Anooraq, and would normally be required to issue a prospectus in
respect of the distribution or sale of any such securities. National
Instrument 45-102 Resale of Securities ("NI 45-102") provides an exemption to
this requirement.
In accordance with NI 45-102, Pelawan has signed a Notice of Intention to
Distribute Securities (Form 45-102F1), which has been filed on SEDAR, in terms
of which Pelawan will be entitled to sell up to 21 million Anooraq shares
privately at any time between 14 November and 6 December 2007. Should Pelawan
sell any Anooraq shares, it intends to apply the net proceeds received to the
exercise of a portion of its Anooraq warrants.
Upon completion of any sale, a further announcement will be released.
