Result Of General Meeting And Salient Dates
At a general meeting of shareholders of IFS held on Friday, 7 December
2007, the resolutions relating to:
- the change of name of the company to DNR Capital Limited ("the change
of name");
- the increase in authorised share capital to R5 000 000 consisting of
500 000 000 ordinary shares of 1 cent each, by the creation of 456 000
000 ordinary shares of 1 cent each ("the increase in authorised share
capital");
- the adoption of a new memorandum and articles of association for the
company;
- a specific issue of 100 000 000 ordinary shares at an issue price of
100 cents per share to select investors ("the specific issue of shares
for cash"); and
- the related party transaction in terms of that portion of the specific
issue of shares for cash to Messrs D N Rosen and S Medalie,
(collectively "the corporate actions"),
were unanimously passed by shareholders.
The corporate actions were detailed in a circular to shareholders dated 15
November 2007.
The special resolutions relating to the change of name, the increase in
authorised share capital and the adoption of a new memorandum and articles
of association of the company will be submitted for registration to the
Registrar of Companies in due course.
The suspension of the listing of IFS`s shares on the JSE is expected to be
lifted with effect from the 3rd business day after registration of the
special resolutions. Such date will be announced on SENS and in the press
once known.
The following salient dates and times pertinent to the corporate actions
serve as a reminder to shareholders:

Last day to trade in the name of Friday, 4 January
