Resignation of Mr.David Brown from the Board of Directors of Simmers
Simmer & Jack Mines, Ltd ("Simmers") has announced that Mr. David Brown has
resigned as an Independent Non-executive Director of Simmers with effect from
today. Mr. Brown, who also served as the Chairman of Simmers` Audit Committee,
joined the Board in October 2005. At that time he was Chief Financial Officer
at Impala Platinum, but in September 2006 he took over as Chief Executive of
that company, and his increased responsibilities have made it difficult for him
to devote additional time to Simmers.
Simmers` Chairman Nigel Brunette said that: "David Brown has been a tremendous
asset to the Simmers Board, and although we understand completely his reasons
for stepping down, we tried hard to dissuade him, unfortunately to no avail. On
behalf of my colleagues I want to thank him for the efforts he has put in for
the company, particularly in the areas of financial reporting and risk
management, where he did a great deal to bring Simmers closer to standards of
best practice. We will miss his wise counsel and his presence among us as a
valued friend.
We have not yet undertaken the task of replacing Mr. Brown, but his place as
Audit Committee Chairman will be taken by Mr. Adrian Meyer, another suitably
qualified Independent Director. In the New Year the Company`s Corporate
Governance and Nominations Committee will, however, consider whether to make
another appointment."
