by the Hill Trust.

Cut Group, in terms of an agreement between the Hill Trust and AH Steenkamp
dated 3 October 2007 and amended on 20 December 2007 for the transfer of 3
421 787 Integrear ordinary shares (before the subdivision) at a price of
2,3877 cents per share. The transfer is effective 3 January 2008, as the
agreement was subject to the fulfilment of certain conditions, which has
now been fulfilled.
