TERMINATION OF LISTING OF BYTES AND ISSUANCE OF ALTRON SHARES
Following the successful implementation of the scheme of arrangement between
Bytes Technology Group Limited ("Bytes") and Altron, the listing of Bytes on the
JSE has been terminated from the commencement of business on 15 January 2008.
In settlement of the Bytes scheme consideration, Altron will issue 8,495,016
Altron ordinary shares and 22,092,286 Altron participating preference shares as
consideration for the Bytes ordinary shares. The listing of these shares has
been approved by the JSE with effect from 16 January 2008.
Bytes shareholders who elected to receive the Ordinary Share Consideration, as
defined in the Bytes scheme document, will receive Altron ordinary shares in
exchange for 100% of their Bytes shareholding at an exchange ratio of 0.40715.
Bytes shareholders who did not elect the Ordinary Share Consideration or who
elected the Participating Preference Share Consideration, as defined in the
Bytes scheme document, will receive Altron participating preference shares in
exchange for 100% of their Bytes shareholding at an exchange ratio of 0.43565.
