RESULTS OF THE SCHEME MEETING
INTRODUCTION
Shareholders are referred to -
- the announcement dated Friday, 7 September 2007 in which, inter alia,
shareholders were advised of the scheme of arrangement ("scheme") proposed by
BRC Diamond Corporation ("BRC") between Diamond Core and the ordinary
shareholders of Diamond Core;
- the announcement dated Friday, 14 December 2007 which set out the important
dates and times in respect of the scheme;
- the circular to ordinary shareholders dated Friday, 14 December 2007; and
- the announcement dated Monday, 14 January 2008 advising that the scheme was
approved by the requisite majority of ordinary shareholders.
RESULTS OF THE COURT HEARING
Shareholders are advised that on Tuesday, 22 January 2008 the High Court of
South Africa (Witwatersrand Local Division) sanctioned the scheme.
OUTSTANDING CONDITIONS PRECEDENT
Shareholders are reminded that the scheme is still subject to the fulfilment of
the condition precedent that a certified copy of the Order of Court sanctioning
the scheme be registered by the Registrar of Companies in terms of the Companies
Act 61 of 1973.
TIMETABLE
The final important dates and times will be released on SENS and published in
the press as soon as they are determined having regard to the date of
fulfillment of the final condition precedent.
