FINALISATION OF AMCOS TRANSACTION
Shareholders are referred to the announcement regarding the acquisition of Amcos
Cosmetics International (Proprietary) Limited ("Amcos"), released on SENS on 04
July 2007. The board is pleased to announce that all the conditions precedent to
this transaction, including the approval of the Competition Commission, have now
been fulfilled and that the acquisition is now being implemented. The transfer
of the manufacturing operations to Beige`s Chloorkop factory will now commence
and is expected to be completed by the end of May 2008.
The board is further pleased to announce that following negotiations with the
Theron Family Trust, Beige has acquired the remaining 20% of the issued share
capital of and the claims against Amcos, with effect from 01 July 2007. The
acquisition of the remaining shares will have no material effect on Beige`s
earnings, headline earnings net asset value or net tangible asset value per
share.
