CHANGE IN YEAR END AND EXPLANATION ON FUTURE FINANCIAL REPORTING
NOTICE PURSUANT TO NATIONAL INSTRUMENT 51-102 ("NI 51-102")
Shareholders are advised that in terms of Section 4.8(2) of Canadian National
Instrument 51-102, Rockwell advises that it has decided to change its year-end
from May 31 to February 28, in order to coordinate its planning and reporting
activities with the various operating subsidiaries it has acquired during fiscal
2007 and 2008.
In accordance with the definitions used in the Companion Policy to NI 51-102:
-Rockwell`s old financial year end is May 31, 2007.
-Rockwell`s transition year will be the 9 months ended February 29, 2008.
-Rockwell`s new financial year will be the 12 months ended February 28, 2009.
Rockwell has reported the following periods for its old financial year end
and during its transition year:
- Year ended May 31, 2007, with comparatives for the year ended May 31, 2006.
-Three months ended August 31, 2007, with comparatives for the three months
ended August 31, 2006.
-Three months and six months ended November 30, 2007, with comparatives for the
three months and six months ended November 30, 2006.
During the remainder of the Rockwell`s transition year, Rockwell will report the
following periods, by the following filing deadlines:
-Nine months ended February 29, 2008, with comparatives for the year ended May
31, 2007. The filing deadline will be May 29, 2008.
During Rockwell`s new financial year ended February 28, 2009, Rockwell will
report the following periods, by the following filing deadlines:
-Three months ended May 31, 2008, with comparatives for the three months ended
May 31, 2007. The filing deadline will be July 15, 2008.
-Three months and six months ended August 31, 2008, with comparatives for the
three months and six months ended August 31, 2007. The filing deadline will be
October 15, 2008.
-Three months and nine months ended November 30, 2008, with comparatives for the
three months and nine months ended November 30, 2007. The filing deadline will
be January 14, 2009.
-Year ended February 28, 2009, with comparatives for the nine months ended
February 29, 2008. The filing deadline will be May 29, 2009.
