STATEMENT - CHANGE OF NAME
In accordance with a court order applied for by "Business Systems Group (Africa)
(Pty) Ltd" prohibiting the use of "BSG" in the name of the company and ordering
the company accordingly to change its name ("the court order"), Simeka has
changed the name of the company to "Simeka Business Solutions Group Limited".
In compliance with the court order Simeka has eliminated any reference to the
letters "BSG" and/or any abbreviation to "BSG" of the full name of the company.
In this regard shareholders are referred to the SENS announcements dated 1
November 2007, 23 November 2007, 12 December 2007 and 14 December 2007 regarding
the change of name of the company.
In addition to the SENS announcements above, following registration with CIPRO
of the special resolution to change the name of the company, and in line with
the JSE approval, the company voluntarily published an announcement in the
Business Day and Beeld newspapers on Monday 26 November 2007 advising the public
of the change of name and new website domain being
www.simekabusinessgroup.co.za.
In compliance with the court order all company documentation, whether legal or
promotional and including company stationery, as well as domain names and all
and any company signage have been replaced with "Simeka Business Solutions
Group". A newspaper article dated 5 February 2008 made use of an outdated
photograph of signage, taken prior to the change of name.
The board of Simeka has prudently complied with all terms of the court order
timeously, and is therefore investigating the action for "contempt of court"
levelled against the directors of the board of Simeka, which it will contest
through proof of timeous compliance.
