DEALING IN SECURITIES BY DIRECTORS
In compliance with rule 3.63 of the JSE Listings Requirements, the following

Nature of transaction : The grant and acceptance by way of a
Participation Notice of 4 000 000 Units in terms
of the SA REIT Employee Share Trust ("the Trust"), with
the reference assets being ordinary shares of R0.01 in
SA REIT ("the Reference Assets"). In terms of the
Trust, an employee who has accepted a Participation
Notice becomes a vested Beneficiary of the Trust.
Further to this, a Beneficiary may only dispose of one
third of his Units on the third anniversary date of the
awarding of the Units, a further one third of his Units
on the fourth anniversary date of the awarding of the
Units, and the balance on the fifth anniversary date of
the awarding of the Units. The Units awarded do not
give the Beneficiary any rights whatsoever to the
Reference Assets as all rights pertaining to the
Reference Assets shall be held and exercised by the
Trustees of the Trust.
