TRANSFER OF OWNERSHIP OF SECURITIES BETWEEN DIRECTORS AND ASSOCIATES
Protech advises that, in order to regularise a verbal agreement entered into
between two of its directors prior to Protech`s listing, the following ordinary
share transfer has been effected:
On 13 February 2008, a total of 200 000 Protech shares were transferred from
Strategy Systems (Pty) Ltd, a company of which the Chairman of Protech, Dirk
Ackerman is a director and an indirect shareholder, to two associates of
Protech`s chief executive officer, Gerald Chapman. The associates who paid R1
for each ordinary share transferred will now own these shares directly.
Previously, Strategy Systems (Pty) Ltd held these shares in a non-beneficial
capacity as nominee. The price paid per share represents the listing offer price
for Protech`s ordinary shares.
